The Workloop Business Referral Program Terms and Conditions 1. Overview The Workloop Business Referral Program (the “Program”) is offered by The Workloop LLC (“The Workloop,” “we,” or “us”). The Program allows individuals and businesses to refer potential customers to The Workloop and earn financial rewards when those referrals become clients. Participation is open to both current Workloop customers and non-customers. 2. How the Program Works Participants (“Referrers”) can earn a reward when they refer a new business that: 1. Meets all eligibility requirements in these Terms, and 2. Signs a qualifying contract with The Workloop. Rewards are based on the number of Full-Time Equivalent seats (FTEs) in the new customer’s contract: FTE Seats Contracted / Reward Amount 15–24 FTEs – $10,000 25–49 FTEs – $15,000 50–99 FTEs – $40,000 100+ FTEs – $75,000 Reward Payment Schedule: Rewards are paid in three installments, based on the customer’s Production Start Date: - 30% paid 60 days after production starts - 30% paid 6 months after production starts - 40% paid 12 months after production starts Rewards are only paid after The Workloop has received full payment from the referred customer for each corresponding period. Referrers must submit a completed W-9 (U.S.) or W-8BEN (non-U.S.) within 60 days of becoming eligible. Failure to provide the required tax form on time will result in forfeiture of the reward. The Workloop may modify, suspend, or cancel the Program at any time. 3. Who Can Be a Referrer A Referrer may be an individual or a business as long as: - They are in good standing with The Workloop - They do not refer themselves, their employer, or any affiliated business - They do not live in the same household as the referred party - They are not a Workloop employee, contractor, or immediate family member of one - The referral is not being made for resale, redistribution, or lead brokerage purposes Independent consultants may participate as long as they are not employed by The Workloop at the time of referral. 4. What Counts as an Eligible New Customer An Eligible New Customer is a business that: - Has never been a Workloop customer - Is not already in Workloop’s CRM as a lead, prospect, or contact - Signs a new contract for 15+ FTEs - Commits to a minimum 12-month term - Begins services while the Program is active Former customers, paused customers, or reactivated accounts do not qualify. Workloop’s determination of customer eligibility is final. 5. How to Submit a Referral Referrals must be submitted through: - The official Referral Form at www.theworkloop.com/externalreferrals, or - A personalized referral link provided by The Workloop’s referral platform Referrers must clearly disclose that they are participating in a referral program. Prohibited outreach methods include: - Spam or mass emails - Automated messages or bots - Telemarketing campaigns - Paid ads using The Workloop name or trademarks - Any outreach that violates privacy, marketing, or anti-spam laws If multiple people submit the same referral, the first validated submission is eligible. Referrals expire one year after submission if no qualifying contract is signed. 6. Reward Issuance Rewards are paid in U.S. dollars and may be issued in one of the following ways: 1. Visa gift card, or 2. ACH bank transfer to a U.S. bank account (available for individuals or businesses that provide valid banking details) Referrers may select their preferred payment method when submitting their W-9 or W-8BEN. If ACH information is incomplete or invalid, the reward will default to a Visa gift card. A valid W-9 (U.S.) or W-8BEN (non-U.S.) that matches the name of the reward recipient must be submitted within 60 days of eligibility. Failure to provide the required tax documentation within this timeframe will result in forfeiture of the reward. Rewards are taxable income. The Workloop will issue Form 1099 to U.S. participants when applicable. If a Referrer owes any balance to The Workloop, we may offset the reward against that balance. 7. General Conditions By participating, Referrers agree to: - Follow all laws and ethical standards - Not act on behalf of or make commitments for The Workloop - Release The Workloop from liability related to participation or reward use Any misuse, fraud, or manipulation of the Program will result in disqualification and possible legal action. 8. Use of Workloop Branding All logos, trademarks, and names (“Workloop Marks”) belong exclusively to The Workloop. Referrers may not use Workloop Marks without written approval. Any marketing materials using Workloop Marks must: - Be pre-approved - Follow our brand guidelines - Not include paid advertising, boosted posts, or sponsored campaigns Unauthorized use may result in removal from the Program. 9. Program Administration The Workloop is not responsible for: - Lost or misdirected referrals - Technical issues - Referral link errors or outages We may update or terminate the Program at any time. Continued participation after changes means you accept the updated terms. All interpretations of these Terms are made solely by The Workloop. 10. Publicity By participating, Referrers allow The Workloop to use their name, likeness, and statements for promotional purposes, following our Privacy Policy unless prohibited by law. 11. Governing Law These Terms are governed by the laws of the State of Delaware. 12. Warranty Disclaimer The Workloop provides the Program “as is” and disclaims all implied warranties, including merchantability or fitness for a particular purpose. 13. Limitation of Liability The Workloop is not liable for indirect, incidental, or consequential damages, including lost profits, even if foreseeable. 14. Personal Information All personal data will be handled according to The Workloop’s Privacy Policy. By participating, you consent to the processing and use of your information for Program administration and legal compliance. Definitions Referral: A valid submission made through the official Referral Form or referral platform containing verifiable contact information. Eligible Referrer: An individual or business meeting all eligibility requirements and submitting referrals in compliance with these Terms. FTE (Full-Time Equivalent): One full-time employee or subcontractor working 160 hours per month. Production Start Date: The first day The Workloop begins delivering billable services. Eligible New Customer: A business that has never worked with The Workloop, is not present in Workloop’s CRM, and signs a new contract of at least 15 FTEs for 12+ months. Reward: The monetary incentive issued once all Program conditions have been met. Program: The Workloop Business Referral Program as described in these Terms and Conditions.
